Reporting to the Quadient General Counsel, the Contract Manager will be responsible for the first level of commercial legal support for AMERICAS.

Reporting to the Quadient General Counsel, the Contract Manager will be responsible for the first level of commercial legal support for AMERICAS.

Responsibilities include:

  • Work with various cross-functional teams to Draft, review and negotiate a wide range of commercial agreements, including complex, high-value software license agreements, services agreements and statements of work, RFPs; reseller and partnership agreements, subcontracting agreements, non-disclosure agreements with large customers who operate in various sectors;
  • Provide general commercial legal support to the Sales & leadership team; Closely track all document changes and communicate status updates to relevant team members on a regular basis.
  • Legal monitoring and internal trainings towards commercial and operational teams; and
  • Contribute to implementation and development company policies and procedures in the sales space at an AMERICAS level, and advising internal clients on a broad array of issues and risks to ensure compliance with company policies and the law.
  • This position will be based in Toronto
  • Some travel within the Region may be required.



Qualifications, skills & experience required

 

  • LLM degree (Ex. Commercial law, International law or IP law) or Juris Doctor
  • Knowledge of US law is mandatory
  • Knowledge of Canadian law is an asset
  • Good knowledge of Intellectual property law (especially copyright)
  • 3-5 years working experience in an internationally operating IT company as In-House Counselor Contract Manager or lawyer in a private law firm
  • Experience working in a B2B market is beneficial. 
  • A very good knowledge of software licensing agreements and professional services agreements in relation to software
  • Demonstrate understanding of legal and business concepts related to software licensing agreements and services agreement preferable (software industry experience).
  • Must be able to critically review, draft and redline contracts
  • Experience leading complex legal transactions preferred
  • Experience in negotiation of IT contracts
  • Practice in several jurisdictions is a plus
